Acceptance and Amendments of Terms and Conditions
The terms and conditions are the terms on which Greenlea offers you access to the services and the Website. By signing up, accessing and/or using the Website or supplier portal operated by us from time to time, you accept and agree to be bound by these terms and conditions. If you do not accept these terms and conditions, you must refrain from using the Website any other online portal operated by Greenlea subject to these terms. To the extent permitted by the law, these terms and conditions may be amended in whole or in part by Greenlea at any time. Amendments are effective immediately upon posting of the amended terms and conditions on this Website. You are responsible for ensuring you are familiar with the latest terms and conditions on our Website.
Access And Use of the Website
We grant you the right to access and use the services via the Website and /or the supplier portal. This right is non-exclusive, non-transferable, and subject to these terms and conditions and all other terms and conditions are expressly excluded unless otherwise agreed in writing.
You may not:
- circumvent, remove, alter, disable, deactivate or otherwise interfere with any security related features of the Website;
- use any automated tools or mechanisms including any robot, spider or scraper to access the Website or insert any code or manipulate the Website;
- install any viruses, worms, malware or other harmful or destructive software or thing that may impair the functionality of the Website or the ability of others to access and use the Website.
Signing Up to Our Supplier Portal
You can sign up to our supplier portal through the signup page by clicking on the link under the login section of our Website. Once you complete the relevant section, a Greenlea representative will check your details and will get in touch with you once your account has been established. This can take up to two business days. This is a free service provided by Greenlea but limited only to suppliers of livestock to Greenlea.
By signing up to our supplier portal you guarantee that you have provided complete, accurate and current personal information when registering with Greenlea. You agree to maintain and update your personal information held by Greenlea to ensure it is kept current at all times. Greenlea may phone or email you to verify these details.
Greenlea reserves the right to decline to register you as a supplier or to terminate your supplier membership without entering into further discussion with you. Greenlea may terminate your membership if you breach these terms and conditions or if you impersonate another member.
You are responsible for keeping your login information, including your email address and password, secret and secure. You must not use any other person's account to access the Website (unless you have that person's express permission to do so).
Terminal equipment, communications links and systems compatibility (and all costs associated with such items) are your sole responsibility. We accept no responsibility for any unavailability of, or defects in, the Website, portal or the services made available to you via the Website to the extent such unavailability or defects arise out of or in connection with terminal equipment, communications links or systems compatibility.
Intellectual Property Rights
This Website is owned by Greenlea. As a result Greenlea owns all copyright and other intellectual property rights title and interests in and to the Website (including but not limited to the text, graphics, logos, layout, trade marks, icons and multimedia) (the "Intellectual Property") in all cases whether registered or unregistered and anywhere in the world.
Your use of the Website and the supplier portal do not transfer the ownership or grant any right or title in or to any of our Intellectual Property to you or any third party.
Everything on our Website, unless otherwise stated, is subject to copyright and other intellectual property rights owned by us. You may not in any form or by any means adapt, reproduce, republish, copy, store, upload, post, remove, distribute, perform, publish or create derivative works from any part of this Website (except that you may download the material for your own personal, domestic use only). You agree not to commercialise, copy or on sell any information, or items obtained from any part of this Website. Unless otherwise acknowledged, Greenlea is the owner of all trade marks reproduced in this information. By registering with Greenlea, you agree to keep all information contained within the membership site confidential.
To the extent permitted by law, you acknowledge that we are not responsible for, and have no liability in respect of any data you provide us including but not limited to any text, images and personal information (“Data”), nor in respect of any loss or corruption of the Data. We reserve the right in our sole discretion to remove from our servers any content that may expose us to potential liability.
You grant a non-exclusive licence to us in respect of the Data to the extent necessary to provide the service and exercise our rights under these terms and conditions.
You grant to us a non-exclusive royalty free world-wide and irrevocable license permitting us to copy, anonymise, aggregate, process and display the Data to derive anonymous statistical and usage data, and data about the functionality of the service, provided such data cannot be used to identify you (“Anonymous Data”), for the purposes of combining or incorporating such Anonymous Data with or into other similar data and information available, derived or obtained from other customers, licensees, users, or otherwise, so as to permit us to provide services.
You warrant and represent that:
- you have the right to grant the licence above in respect of the Data; and
- use of the Data by us, in connection with the services provided by Greenlea will not breach any laws or the intellectual property rights of any person.
You are solely responsible for maintaining a copy of all the Data. We have in place for our own purposes policies and procedures to prevent data loss (and recovery) but does not make any guarantee around loss of any of the Data and, as such, to the extent permitted by law, we expressly exclude any liability for any loss or corruption of any of the Data.
We will not disclose or share the Data held in our system except:
As expressly provided for in these terms and conditions;
- Where we are required by law to do so;
- To our subcontractors (including our hosting provider) or as otherwise reasonably required to provide the service to you;
- To any person to whom we assign, or are proposing to assign, any of our rights under these terms and conditions;
- To the extent that it forms part of Aggregated Data and that
- Aggregated Data is being disclosed or shared;
- As required to enable you to communicate, directly or indirectly, with third parties, including where you elect to share the Data
The Data stored in our system will be hosted on our hosting provider's servers. We have entered into appropriate arrangements requiring our hosting provider to keep your data secure and confidential, we cannot guarantee that there will never be, and accordingly will not be liable to you for, any unauthorised access to, or loss of, the Data. All hosted Data is stored, backed up and domiciled in New Zealand and subject to New Zealand data privacy laws.
"Aggregate data" refers to numerical or non-numerical information that is (1) collected from multiple sources and/or on multiple measures, variables, or individuals and (2) compiled into data summaries, Anonymous Data, or summary reports, typically for the purposes of public reporting or statistical analysis. For example only, this includes examining trends, making comparisons, or revealing information and insights that would not be observable when data elements are viewed in isolation.
We own all Intellectual Property rights title and interests in and arising from our creation of the Aggregated Data. The following provisions apply to the use of Aggregated Data:
- We may publish, disclose, provide, use, license, sell, distribute and exploit the Aggregated Data in any form and in any manner.
- We will not publish, disclose or provide any Aggregated Data in a form where you or your registered farms are specifically identified.
- We will also take reasonable steps to ensure that your Data cannot readily be identified in, or extracted from, the Aggregated Data.
Downloading Your Kill Data
Your individual animal kill data is available for you to download at any time. You may do so by logging into the supplier portal and downloading the data using the link provided. The data is only available in a CSV format.
Sharing Your Kill Data With Third Parties
Greenlea may facilitate the sharing of your kill data, subject to your consent, with third parties via industry standard services, protocols and formats.
To the maximum extent permitted by law, we expressly disclaim and exclude all representations, warranties, conditions and guarantees, including (without limitation) in respect of quality, merchantability, fitness for purpose, condition, description, manufacture, design or performance whether express, implied by common law, law merchant, trade usage, custom or otherwise or statutory In relation to the Website and the supplier portal or the services made available on the Website and the supplier portal.
While we have been careful to ensure information and content ("Information") of this Website is accurate, we give no warranty (express or implied) as to the accuracy, completeness or non-infringement of the Information. You agree that the Website is provided “as is” and you use it at your sole risk.
We reserve the right to terminate, discontinue, edit, remove any content, feature or alter any or all of our Website services, and to stop publishing our Website, at any time at our sole discretion without notice or explanation. We also reserve the right to monitor your use of the Website. You will not be entitled to any compensation or other payment upon the discontinuance or alteration of any Website services, or if we stop publishing the Website. Our disclaimer and limitation of liability will survive such termination, discontinuance or alteration.

You will indemnify and hold us, our third party licensors, suppliers (and their directors, officers and employees), harmless from all claims, liabilities, damages, losses (including legal fees) and expenses, due to or arising out of your (or any of your personnel or authorised users’) use of the services on the Website and the supplier portal, and/or any breach of any term of these terms and conditions by you or any of your authorised users.
Any dealings you have with third parties via our Website are your responsibility, including where you provide access to your personal information to a third party (such as providing access to your accountant to view and download your kill sheet).
These terms and conditions are governed by and will be construed in accordance with the laws of New Zealand and you submit to the exclusive jurisdiction of the courts of New Zealand.
Any notices to be provided by us to you pursuant to these terms and conditions shall be made by either posting such notice on the Website or emailing you at the email address you supplied to us for the purposes of opening your account/membership on the Website.
Nothing express or implied in these terms and conditions shall be construed as constituting either party as the partner, agent, employee, office or representative of, or as a joint venture with, the other party, and neither party will make any contrary representation to any other person.
